Terms of Service

These Terms of Service ("Terms") govern access to and use of ScribMD's website and services (collectively, the "Service"), operated by ScribMD ("ScribMD," "we," "us," or "our"). By creating an account, subscribing, or otherwise using the Service, you ("you," the "Customer," or the "Practice") agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of the Service

ScribMD is a software platform that uses artificial intelligence to help medical practices and healthcare professionals generate and publish marketing and educational content (including website copy, blog posts, and structured data/SEO markup) for their own practice websites. The Service assists with drafting and formatting content; it does not provide medical advice, diagnosis, or treatment, and it is not a substitute for professional medical or legal judgment.

Your Responsibility for Content Review

ScribMD generates content using AI models, which can produce inaccurate, incomplete, or out-of-date statements. You are solely responsible for reviewing, editing, fact-checking, and approving any content before it is published under your practice's name or on your practice's website. You are responsible for ensuring published content complies with applicable advertising, medical board, and professional conduct rules in your jurisdiction. ScribMD does not review or pre-approve content on your behalf and is not liable for content you choose to publish.

3. No Patient Data / No PHI

The Service is designed to generate general marketing and educational content about a practice and its services. ScribMD is not intended to, and you agree not to, submit, upload, or otherwise input any patient health information, protected health information ("PHI") as defined under HIPAA, or other individually identifiable patient data into the Service. Because the Service does not access or process PHI, ScribMD does not act as a "business associate" under HIPAA, and no Business Associate Agreement is offered or required. If you become aware that PHI was inadvertently submitted to the Service, notify us immediately at privacy@scribmd.com.

4. Subscriptions, Trials, and Billing

5. Cancellation

You may cancel your subscription at any time from your account settings or by contacting hello@scribmd.com. Cancellation stops future billing; it does not entitle you to a refund of fees already charged for the current billing period, except as required by applicable law. Upon cancellation or termination, your access to the Service and ability to generate or publish new content ends, and we may delete or de-identify your account data after a reasonable retention period.

6. License to Use Generated Content

Subject to your compliance with these Terms and full payment of applicable fees, ScribMD grants you a worldwide, non-exclusive, royalty-free license to use, reproduce, edit, and publish content generated through the Service for your own practice's marketing and website. You are responsible for the accuracy and legality of any content you publish. We make no claim of ownership over your practice-specific inputs (such as your practice name, services, and location details) that you provide to the Service.

7. Intellectual Property

The Service, including its software, design, trademarks, and underlying technology, is owned by ScribMD and its licensors and is protected by intellectual property laws. Except for the limited license to generated content described above, these Terms do not grant you any rights to ScribMD's trademarks, software, or other intellectual property. You may not copy, modify, reverse-engineer, or resell the Service itself.

THE SERVICE AND ANY CONTENT IT GENERATES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR PUBLICATION WITHOUT REVIEW.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCRIBMD AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE OR ANY CONTENT GENERATED THROUGH IT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO SCRIBMD IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless ScribMD from any claims, damages, or expenses (including reasonable attorneys' fees) arising from content you publish, your breach of these Terms, or your violation of applicable law.

12. Termination

We may suspend or terminate your access to the Service if you breach these Terms, fail to pay applicable fees, or use the Service in a way that creates legal or security risk for ScribMD or others. You may stop using the Service and cancel your subscription at any time as described in Section 5.

13. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Material changes will be posted on this page, and continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
